A registered agent receives legal process and official notices for a business. The job is narrow but important: a missed lawsuit document or state notice can create consequences much larger than the annual service price. Paying for a commercial agent does not buy legal representation, and using your own address does not make the task disappear.
For a founder deciding between self service and a paid agent, the best comparison is practical. Can someone reliably meet the state requirements at the registered office? Is the address suitable for public records? Will notices reach the person who can act on them promptly? The answers explain whether a $0 service fee is a genuine saving or just a task moved onto an unreliable process.
Government fees and professional costs
| Item | Cost | Scope |
|---|---|---|
| Appointment in formation documents | Included in the applicable formation filing | No universal separate appointment fee is quoted. |
| Changing an agent or registered office | State specific; not quoted here | Check the exact official form and filing method. |
| Annual state reports and taxes | Separate from agent service | An agent invoice does not ordinarily pay these government charges. |
| Item | Cost | Scope |
|---|---|---|
| Basic registered agent service | $100 to $300 per state yearly | Hypothetical planning allowance for notices and ordinary scanning. |
| Self service | $0 incremental service fee | Assumes the owner already has a qualifying address and availability. |
| Optional mail forwarding or address package | Obtain a separate quote | Scope, volume and address use vary; not included in the basic range. |
There is no single US government price for changing a registered agent. Each state has its own filing process and possible charge. We omit those amounts because the correct form and method must be confirmed for the business. A service can also charge its own administration fee, which should not be presented as a state fee.
An agent package may advertise a first year discount when bought with formation. Compare the ordinary renewal price and any per state charge, not just the introductory total. Our $100 to $300 range describes a basic annual budget, not unlimited physical mail, a business licence, a bank approved office address or professional legal advice.
When acting yourself can work
Self service can make sense for an owner with a stable qualifying street address in the state who is reliably available during the hours required. The address and individual must satisfy that state's rules. A post office box or ordinary virtual mailbox is not automatically acceptable. Some states permit the owner to act; others have appointment and consent details that need careful reading.
The hidden cost is continuity. If you travel, move, work away from the office or cannot respond quickly, someone needs to cover the process. Legal notices should not sit unopened with ordinary sales mail. Create a documented routine for receiving, scanning and escalating them. The goal is not to spend every day thinking about compliance, but to ensure a critical document has a clear path to action.
What a paid service does and does not provide
A basic commercial service normally supplies an eligible registered office and handles documents served there. Check the time promised for scanning, the alert channels and access to the original document. Ask who receives the notice when the account contact changes. A dashboard notification alone can fail if nobody checks the dashboard or a former employee remains the only email contact.
Privacy claims need limits. Using an agent can keep that particular address role separate from a home address, but other business filings may disclose owners, managers or an operating address. An agent does not make the company anonymous or remove tax reporting. It also does not become your lawyer or defend a lawsuit. Once a notice arrives, the business still needs to respond appropriately.
Several states multiply the service, not the business protection
If an LLC must register in several states, it can need an eligible agent in each. A nationwide provider may offer combined administration, but the charge can still apply per state. At our illustrative $100 to $300 range, 3 paid appointments would cost $300 to $900 annually before state reports, foreign registration or optional services. Discounts should be checked against the actual renewal invoice.
An agent in Delaware does not necessarily cover the state where the business operates. That is why a low formation price can turn into 2 ongoing agent bills. List every state appointment and explain why it is required. If a state registration is no longer needed, simply cancelling an agent subscription may leave the entity noncompliant. Coordinate withdrawal or closure with the appropriate filing process.
Switching without leaving a gap
Choose the new eligible agent, obtain the required consent and follow the official change process before ending the old service. A cancellation email to the provider is not automatically an update to state records. Keep a copy of the accepted filing and verify that the public record shows the intended agent. Ask how documents arriving during the transition will be forwarded.
Review renewal terms early enough to avoid paying for another year by accident. Some providers combine agent service with compliance reminders or reports. Confirm whether a report is actually filed or the product only reminds you to file it. Keep government filing confirmations separately from subscription receipts. That small recordkeeping habit helps avoid assuming that a paid invoice proves the company is current.
Hypothetical example: an owner who works at client sites
Assume a Texas consultant runs an LLC from a home office but spends several days each week at client locations. The consultant can compare a $0 incremental self service fee with a basic paid agent allowance of $100 to $300 annually. The choice depends on whether the registered office can meet the Texas requirements reliably, not whether the owner would like to avoid another subscription.
If the consultant later registers in a second state and pays for agents in both, the illustrative annual service budget becomes $200 to $600. Over 3 years that is $600 to $1,800, excluding state charges and add ons. The example does not assume that every client visit creates registration duties. It shows the multiplication once a second appointment is actually needed and why a per state renewal schedule is useful.
Illustrative annual range using $100 to $300 per appointment. No state filing charges are included.
What drives the cost up or down
The number of states, volume of documents, forwarding options and service speed affect the bill. A stable local owner with a qualifying office can have little incremental cash cost. A mobile founder, remote team or business needing appointments in multiple states has a stronger reason to budget for a service. Do not pay for an address package without checking what government, bank or licensing purposes it actually supports.
Costs become more predictable when the business compares renewal terms, avoids duplicate subscriptions and keeps contact details current. The lowest price is not necessarily good value if alerts are slow or document access is unreliable. Ask about the process rather than relying on a claim of complete protection. A clear escalation procedure is more useful than a marketing promise that an agent will handle all legal issues.
Frequently asked questions
Can a founder act as the registered agent?
Often yes, if the founder satisfies the state's address, availability and consent requirements. Read the specific rule rather than treating self service as automatically permitted. If the owner regularly works elsewhere, a qualifying backup arrangement or paid agent may be more practical.
Is a registered agent the same as a virtual office?
No. Receiving legal process is a particular statutory role. A virtual office or mailbox product may not qualify, and a registered agent address may not be approved for every other business purpose. Ask what the product actually permits before placing the address on filings or bank applications.
Will a paid agent file my annual report?
Not necessarily. Some plans only receive documents or send reminders, while others sell filing services separately. Confirm whether the government submission and government fee are included. Keep the accepted report as evidence rather than assuming the subscription invoice proves it was filed.
Does an agent protect my identity?
It can separate the agent address from a home address in that part of the record, but other filings can disclose additional information. The service does not guarantee anonymity, avoid tax reporting or remove the company's legal duties. Evaluate privacy claims against the actual state forms.
Can I cancel when I stop trading?
The company may still need an agent until formal dissolution or withdrawal is complete. Stopping sales does not automatically remove state obligations. Coordinate cancellation with accepted closure documents and verify how any final notices will be handled.
