New York charges $200 to file Articles of Organization. It then requires the LLC to publish notice in two newspapers, one daily and one weekly, for six consecutive weeks in the county of its office, and to file a Certificate of Publication afterwards.
Newspaper rates are set locally, so the cost swings enormously. Upstate counties can come in at a few hundred dollars. New York City counties, Manhattan in particular, routinely run past $1,500.
New York LLC fees at a glance
| Cost | Amount |
|---|---|
| Articles of OrganizationPaid once to the Department of State. | $200 |
| Newspaper publicationSix weeks in two papers, priced by county. | $300 to $1,600 |
| Certificate of PublicationFiled after publication finishes. | $50 |
| Biennial statementAbout $4.50 a year averaged out. | $9 every two years |
| Registered agent serviceOptional if you act as your own agent. | $100 to $300 a year |
First year, doing it yourself
$550 to $1,850
First year with a formation service and paid agent
$650 to $2,150
Every year after that
$5 to $305
Ranges assume a registered agent service at $100 to $300 a year where one is used, and a formation service package of $0 to $300 on top of state fees. Some owners set the LLC office in a cheaper county to lower publication costs. That only works if the address is genuinely the office of the company, so treat any advice to fake it as a risk, not a saving.
The quirk worth knowing
Publication is not optional and there is a deadline of 120 days from formation. Missing it can suspend the authority of the LLC to carry on business in the state. Budget the publication money at the start rather than treating it as a later problem.
Arizona and Nebraska also have publication requirements, but neither is anywhere near as expensive as New York City counties.
Who New York suits
Businesses that genuinely operate in New York. Nobody should form here for tax or privacy reasons, because the first year cost is the highest of any state on this list once publication lands.
